- 1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, prices may be adjusted to reflect changes in market conditions, exchange rates, or regulatory requirements in Colombia Medellín.
- 2. Payment Terms: A 30% advance payment is due upon contract signing. The remaining 70% shall be paid in monthly installments aligned with the project milestones outlined above. All payments shall be made in Colombian Pesos (COP) via bank transfer to the account designated by Andina Chemical Engineering Solutions S.A.S.
- 3. Scope Modifications: Any changes to the scope of work requested by the client after the Quotation Estimate is accepted will be subject to a formal change order and additional cost assessment by the assigned Chemical Engineer.
- 4. Regulatory Compliance: All services provided by the Chemical Engineer shall comply with Colombian national regulations, Antioquia departmental ordinances, and the specific environmental and industrial safety codes applicable to the Colombia Medellín jurisdiction.
- 5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, process information, and proprietary knowledge exchanged during the execution of this Quotation Estimate and the subsequent contract.
- 6. Liability and Insurance: The Chemical Engineer and the support team shall carry professional liability insurance with a minimum coverage of COP 500,000,000, valid throughout the project duration in Colombia Medellín.
- 7. Dispute Resolution: Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through mediation before the Chamber of Commerce of Medellín (Cámara de Comercio de Medellín) and, if necessary, through the competent civil courts of Medellín, Antioquia, Colombia.
