This Quotation Estimate is structured for payment in quarterly installments. An initial deposit of 25% (€136,680.00) is due upon acceptance of this Quotation Estimate and execution of the service agreement. The remaining balance shall be invoiced quarterly in arrears, with payment due within thirty (30) calendar days of invoice date. All payments shall be made via bank transfer to our account at Crédit Agricole, France Paris branch. Late payments shall incur interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10).
1. This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Beyond this period, pricing may be subject to revision based on market conditions and the availability of the designated Chemical Engineer.
2. The Chemical Engineer engaged under this contract shall comply with all applicable French labor laws, professional engineering regulations (Ordre des Ingénieurs), and industry-specific standards relevant to operations in France Paris.
3. All intellectual property, process designs, and technical documentation produced by the Chemical Engineer during the term of this engagement shall remain the exclusive property of the client, subject to a non-disclosure agreement (NDA) executed prior to commencement of work.
4. The Chemical Engineer shall maintain professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €5,000,000, valid throughout the duration of the contract in France Paris.
5. Either party may terminate this agreement with sixty (60) days' written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a cancellation fee of 10% of the remaining contract value.
6. This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties and countersigned. All disputes arising from this engagement shall be resolved under the jurisdiction of the Tribunal de Commerce de Paris, France Paris.
7. The Chemical Engineer reserves the right to substitute an equivalent qualified professional in the event of illness or unavailability, provided that the replacement meets or exceeds the qualifications specified in this Quotation Estimate.
