- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, pricing may be subject to revision based on prevailing market conditions in Israel Tel Aviv.
- Payment terms: 30% advance upon contract signing, 40% upon completion of detailed engineering deliverables (Items 2 and 3), and 30% upon successful commissioning and handover (Item 6).
- All invoices are payable within fourteen (14) days of receipt. Late payments shall accrue interest at the rate prescribed by the Israeli Late Payment Law (Hokhachat Toldot).
- The Chemical Engineer and his team shall maintain full professional liability insurance (minimum coverage of 5,000,000 ILS) throughout the duration of the engagement.
- Any changes to the scope of work beyond 10% of the originally estimated hours shall require a written change order signed by both parties before additional work commences.
- All intellectual property, design documents, and process data generated under this contract shall become the exclusive property of Negev Advanced Materials Ltd. upon full payment.
- This engagement is governed by the laws of the State of Israel. Any disputes shall be resolved by arbitration in Tel Aviv under the rules of the Israel Arbitration Association.
- The Chemical Engineer reserves the right to subcontract non-critical support tasks (e.g., CAD drafting, laboratory sampling) to qualified third parties, provided the client is notified in writing at least five business days in advance.
- Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or civil unrest affecting the Israel Tel Aviv region, shall suspend obligations without penalty for either party.
