3.1 Validity: This Quotation Estimate is valid for sixty (60) calendar days from the date of issue. Upon expiry, all rates and availability of the designated Chemical Engineer are subject to reconfirmation.
3.2 Payment Schedule: 30% advance payment upon acceptance of this Quotation Estimate; 40% upon completion of the HAZOP study and process optimization phase (Ref. 01–03); 30% upon successful commissioning and handover (Ref. 05–06). The post-commissioning guarantee fee (Ref. 07) is payable in two equal monthly installments.
3.3 Payment Method: Bank transfer (Bonifico Bancario) to the account details provided on the pro-forma invoice. Payment is due within thirty (30) days of invoice date in accordance with Italian commercial law (Codice Civile, Art. 1181).
3.4 Intellectual Property: All process designs, calculations, reports, and documentation produced by the Chemical Engineer under this engagement remain the property of the client upon full payment. Our firm retains the right to reference the project (anonymized) for professional portfolio purposes.
3.5 Liability and Insurance: Our firm maintains professional indemnity insurance with a coverage of EUR 2,000,000 per claim, compliant with the requirements of the Italian Chamber of Engineers (Ordine degli Ingegneri di Napoli). The Chemical Engineer's personal professional liability is governed by the terms of the Ordine registration.
3.6 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Naples region, government-mandated shutdowns, or supply chain disruptions.
3.7 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes shall be resolved by the competent courts of Naples (Tribunale di Napoli).
3.8 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary process data, trade secrets, and operational information exchanged during the course of this engagement. This obligation survives termination of the contract for a period of five (5) years.
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes the commencement of the Chemical Engineer services as described herein. The signed copy of this document shall serve as the binding agreement between the parties until a formal service contract is executed.
