- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Upon expiration, all pricing and availability commitments shall be subject to re-evaluation.
- Payment shall be structured as follows: 25% advance payment upon contract execution, 40% upon completion of the detailed design phase (Month 6), 25% upon successful commissioning (Month 12), and 10% upon final acceptance of all deliverables (Month 14).
- All payments shall be made in Kazakhstani Tenge (KZT) via bank transfer to the account of the contracting Chemical Engineer consultancy firm registered in Almaty, Kazakhstan. International payments in USD are acceptable subject to a 2% currency conversion surcharge.
- The Chemical Engineer shall maintain professional liability insurance with a minimum coverage of 50,000,000 KZT throughout the duration of the engagement, as required by Kazakhstan professional engineering regulations.
- All intellectual property, process designs, and technical documentation produced under this contract shall become the exclusive property of Almaty Petrochemical Industries LLP upon full payment.
- Force majeure events, including but not limited to natural disasters affecting the Almaty region, government-mandated shutdowns, or supply chain disruptions specific to Kazakhstan Almaty, shall extend the project timeline proportionally without penalty to either party.
- Any changes to the scope of work must be documented in a formal Change Order signed by both parties. The Quotation Estimate pricing shall be adjusted accordingly based on the revised scope.
- Disputes arising from this agreement shall be resolved through arbitration in Almaty, Kazakhstan, in accordance with the rules of the Almaty International Arbitration Centre.
By signing below, both parties acknowledge and agree to the terms, conditions, and pricing outlined in this Quotation Estimate for the engagement of the Chemical Engineer services in Kazakhstan Almaty. This document, once countersigned, shall constitute a binding service agreement between the parties.
