This Quotation Estimate is issued by our firm to formally present the professional fees, technical deliverables, and associated costs for the engagement of a qualified Chemical Engineer to provide comprehensive process design, optimization, and regulatory compliance services for Minera Andina del Sur S.A.C. The scope of work described herein is specifically tailored to the operational requirements of the client's mineral processing facility located in the Callao industrial district, Peru Lima, and is subject to the terms and conditions outlined in this document.
The Chemical Engineer assigned to this project will hold a valid professional license issued by the Colegio de Ingenieros del Peru and will possess a minimum of fifteen (15) years of experience in hydrometallurgical process design, environmental impact assessment, and industrial safety management within the Peruvian mining sector. All services rendered under this Quotation Estimate will comply with the regulations established by the Ministry of Energy and Mines (MINEM), the National Environmental Certification Agency (OEFA), and the applicable municipal ordinances of the Lima metropolitan area.

All monetary values are expressed in Peruvian Soles (PEN). Exchange rate reference: 1 USD = 3.74 PEN (BCR rate as of June 2025).
3.1 Validity: This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all rates and conditions are subject to revision due to potential changes in material costs, labor market conditions in Peru Lima, or regulatory updates.
3.2 Payment Schedule: Payment shall be made in four (4) equal installments: 25% upon contract signing, 25% upon completion of the process design deliverables (Items 01–03), 25% upon submission of the EIA and safety documentation (Items 04–05), and the final 25% upon delivery of the as-built documentation and regulatory approval (Items 06–07).
3.3 Intellectual Property: All process designs, models, reports, and technical documentation produced by the Chemical Engineer under this engagement shall become the exclusive property of the client upon full payment. The Chemical Engineer retains the right to reference the project in professional portfolios with prior written consent.
3.4 Regulatory Compliance: The Chemical Engineer guarantees that all deliverables will conform to the current Peruvian technical standards (NTP), the regulations of the Ministry of Energy and Mines, and the environmental norms applicable to industrial operations in the Lima region. Any additional regulatory requirements identified during the project will be communicated in writing and may result in a supplementary Quotation Estimate.
3.5 Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting the Peru Lima area.
3.6 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, process parameters, and operational data exchanged during the execution of this Quotation Estimate. This obligation shall survive the termination of the contract for a period of five (5) years.
This Quotation Estimate assumes that the client will provide timely access to the Peru Lima facility, all existing process documentation, historical operational data, and any third-party reports required for the Chemical Engineer to perform the scope of work. The following items are explicitly excluded from this estimate: civil and structural engineering design, electrical and instrumentation procurement, procurement of process equipment and chemicals, and any legal representation before Peruvian courts or arbitration bodies. Should the client require any of these additional services, a separate Quotation Estimate will be prepared and submitted for approval.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and cost breakdowns presented in this Quotation Estimate for the Chemical Engineer services to be performed in Peru Lima. This document constitutes a binding offer upon the client's written acceptance and the provider's countersignature.
