1. Scope of Services – Chemical Engineer EngagementThe proposed Chemical Engineer will be a fully qualified professional holding a Master's degree in Chemical Engineering from a recognized Russian or international institution, with a minimum of twelve (12) years of hands-on experience in petrochemical process design, reactor optimization, and plant commissioning. The scope of work for this Quotation Estimate includes the following deliverables:
- Comprehensive process flow diagram (PFD) and piping and instrumentation diagram (P&ID) review for the new ethylene glycol production line.
- Thermodynamic and kinetic modeling of batch and continuous reactors using Aspen Plus and HYSYS software.
- Heat and mass transfer calculations for heat exchanger networks, distillation columns, and separation units.
- Preparation of a detailed process safety report in compliance with Russian Federal Norms and Rules (FNR) and GOST standards.
- On-site supervision of mechanical installation and commissioning activities at the Saint Petersburg plant location.

This Quotation Estimate is structured with the following payment milestones, payable via bank transfer to the account of Neva Process Engineering Consultancy LLC, Sberbank, Saint Petersburg branch:
- Advance Payment (30%): 1,010,160 RUB – due within 10 business days of contract signature.
- Progress Payment (40%): 1,346,880 RUB – due upon completion of process design and safety audit deliverables (Month 4).
- Final Payment (30%): 1,010,160 RUB – due upon acceptance of the final documentation package and successful commissioning sign-off.
- This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all rates are subject to revision based on prevailing market conditions in the Russia Saint Petersburg engineering sector.
- The Chemical Engineer assigned to this project shall comply with all applicable Russian labor regulations, including the Labor Code of the Russian Federation, and shall hold a valid professional registration with the Russian Union of Engineers.
- All intellectual property, process models, and technical documentation produced under this engagement shall become the exclusive property of Baltic Petrochemical Industries JSC upon full payment.
- Confidentiality obligations shall survive for a period of five (5) years following project completion, in accordance with Article 14 of the Civil Code of the Russian Federation.
- Any changes to the scope of work must be documented in a formal Change Order signed by both parties. Adjustments to the Quotation Estimate total shall be calculated at the same unit rates specified in Section 2.
- Force majeure events, as defined under Article 416 of the Civil Code of the Russian Federation, shall relieve the affected party from liability for delayed performance.
- Disputes arising from this agreement shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and Leningrad Oblast.
- The Chemical Engineer shall maintain professional liability insurance with a minimum coverage of 5,000,000 RUB throughout the duration of the engagement.
By signing below, both parties acknowledge and agree to the terms set forth in this Quotation Estimate for the engagement of a Chemical Engineer in Russia Saint Petersburg. This document, once countersigned, shall constitute a binding commercial agreement between the parties.
