1. Scope of Services – Chemical Engineer EngagementThe proposed Chemical Engineer, Mr. Sipho Dlamini (BEng Chemical, MSc Process Engineering, 14 years post-graduate experience), will be deployed to your Kempton Park facility in South Africa Johannesburg to perform the following duties:
- Conduct a comprehensive process audit of the existing manganese leaching and purification circuit, identifying bottlenecks, inefficiencies, and safety non-conformances.
- Develop and optimise chemical dosing protocols, including acid concentration management, reagent selection, and pH control strategies to improve metal recovery rates by a target of 8–12 percent.
- Design and specify upgrades to the solvent extraction and electrowinning sections, including heat exchanger sizing, pump selection, and control instrumentation layout.
- Prepare detailed process flow diagrams (PFDs), piping and instrumentation diagrams (P&IDs), and equipment data sheets in compliance with SANS 10400 and SANS 10107 standards applicable in South Africa Johannesburg.
- Perform mass and energy balance calculations, reaction kinetics modelling, and thermodynamic feasibility studies for the proposed process modifications.

- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Should the client wish to proceed after the validity period, a revised Quotation Estimate reflecting current market rates for Chemical Engineer services in South Africa Johannesburg will be issued.
- Payment terms: 40 percent (R 634,064.00) due upon acceptance of this Quotation Estimate and execution of the service agreement; 30 percent (R 475,548.00) due upon delivery of the process design package (Item 03); 30 percent (R 475,548.00) due upon submission of the final engineering report (Item 08).
- All payments are to be made in South African Rand (ZAR) via electronic funds transfer to the account details provided on the pro-forma invoice. Late payments will attract interest at the rate of 1.5 percent per month, in accordance with the National Credit Act of South Africa.
- The Chemical Engineer will comply with all applicable South African legislation, including the Occupational Health and Safety Act (Act 85 of 1993), the National Environmental Management Act (Act 107 of 1998), and the Mining Charter requirements relevant to operations in South Africa Johannesburg.
- Intellectual property: All designs, calculations, reports, and documentation produced under this engagement shall become the property of the client upon full payment. Apex Chemical Engineering Solutions retains the right to reference the project in future marketing materials with the client's written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary process data, trade secrets, and commercial information exchanged during the course of this engagement. A separate Non-Disclosure Agreement (NDA) may be executed prior to commencement.
- Limitation of liability: Apex Chemical Engineering Solutions' total liability under this Quotation Estimate shall not exceed the total fees payable hereunder. The Chemical Engineer's recommendations are advisory in nature and do not constitute a guarantee of specific process outcomes.
- Dispute resolution: Any disputes arising from this Quotation Estimate or the resulting service agreement shall be resolved through mediation in Johannesburg, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
- This Quotation Estimate does not constitute a binding contract until a formal service agreement has been signed by both parties. The terms herein are subject to the final contract documentation.
