3.1 Validity: This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Should the client wish to proceed after the expiry date, Apex Chemical Engineering Solutions Ltd reserves the right to reissue this Quotation Estimate with revised rates reflecting current market conditions for Chemical Engineer professional services in the United Kingdom London area.
3.2 Payment Terms: Payment is due within thirty (30) days of invoice date. A mobilisation payment of 25% of the total contract value is required prior to the commencement of any on-site work. The remaining balance shall be invoiced in monthly instalments aligned with the project milestones outlined in Section 2. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3.3 Intellectual Property: All process designs, simulation models, P&IDs, and technical reports produced by the Chemical Engineer under this engagement shall remain the exclusive property of Apex Chemical Engineering Solutions Ltd until full payment has been received. Upon receipt of the final invoice, a non-exclusive, perpetual licence to use the deliverables for the specific project site in United Kingdom London shall be granted to the client.
3.4 Insurance and Liability: Apex Chemical Engineering Solutions Ltd maintains Professional Indemnity Insurance in the sum of £5,000,000 and Public Liability Insurance in the sum of £10,000,000, both compliant with the requirements of the Institution of Chemical Engineers. The Chemical Engineer shall carry a minimum of £5,000,000 Employers' Liability Insurance as mandated by the Employers' Liability (Compulsory Insurance) Act 1969.
3.5 Health and Safety: All work performed by the Chemical Engineer at the client's facility in United Kingdom London shall be conducted in strict adherence to the Management of Health and Safety at Work Regulations 1999, the Process Safety Management requirements, and any site-specific safety plans.
