This Quotation Estimate is issued by RioQuímica Laboratórios Ltda. to PharmaBrasil Indústria Farmacêutica S.A. for the provision of comprehensive Chemist services, including pharmaceutical quality control, chemical analysis, and regulatory compliance consulting. All services described herein shall be performed within the metropolitan area of Brazil Rio de Janeiro, in full accordance with the standards established by the Brazilian Health Regulatory Agency (ANVISA) and the International Council for Harmonisation (ICH) guidelines applicable in Brazil.
The Chemist team assigned to this engagement consists of three (3) licensed professional chemists registered with the Regional Council of Chemistry (CRQ-IV) for the State of Rio de Janeiro, with a combined experience of over twenty-five (25) years in pharmaceutical and industrial chemical analysis. The lead Chemist, Dr. Helena Vasconcelos, holds a Doctorate in Analytical Chemistry from the Federal University of Rio de Janeiro (UFRJ) and is the primary point of contact for all technical matters related to this Quotation Estimate.

- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all pricing and availability terms must be reconfirmed in writing by the Chemist service provider.
- All Chemist services shall be executed in compliance with Good Laboratory Practice (GLP) as defined by ANVISA RDC 9/2015 and applicable international standards. The laboratory facility in Brazil Rio de Janeiro holds ISO/IEC 17025:2017 accreditation.
- Payment terms: 50% advance upon acceptance of this Quotation Estimate, and 50% upon delivery of final analytical reports. Payment shall be made via bank transfer (TED/PIX) to the account of RioQuímica Laboratórios Ltda., Banco do Brasil, Ag. 1234-5, Conta 67890-1, in Brazil.
- The Chemist provider shall deliver all analytical reports in both Portuguese and English, in PDF format, within fifteen (15) business days of sample receipt, unless otherwise agreed in a supplementary service order.
- Any change in scope, additional sample quantities, or modifications to the analytical methods originally specified in this Quotation Estimate shall be subject to a revised quotation issued by the Chemist team prior to execution.
- All samples shall be transported to the laboratory in Rio de Janeiro at the client's expense, in accordance with the chain-of-custody protocols established by the Chemist provider. The provider assumes custody and responsibility for samples from the moment of receipt at the laboratory.
- This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties. Upon acceptance, a definitive Service Agreement shall be executed, incorporating all terms herein and any additional provisions specific to Brazil commercial and pharmaceutical law.
- Confidentiality: All data, formulations, and proprietary information shared in connection with this Chemist engagement shall be treated as strictly confidential in accordance with the Brazilian General Data Protection Law (LGPD — Lei Geral de Proteção de Dados, Law No. 13.709/2018) and applicable Brazil industrial property regulations.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in Brazil Rio de Janeiro.
- Governing Law: This Quotation Estimate and any resulting agreement shall be governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of Rio de Janeiro, State of Rio de Janeiro.
By signing below, both parties acknowledge that this Quotation Estimate for Chemist services in Brazil Rio de Janeiro has been reviewed, understood, and accepted in all its terms. This document serves as the formal basis for the subsequent execution of the definitive Service Agreement.
