This Quotation Estimate is issued by LabQuímica São Paulo Ltda. to PharmaNova Indústria Farmacêutica S.A. for the provision of specialized Chemist professional services to be executed in Brazil São Paulo. The scope encompasses a comprehensive suite of analytical chemistry, pharmaceutical quality assurance, and regulatory compliance activities performed by a team of licensed Brazilian chemists (CRQ-SP registered) operating from our certified laboratory facility in the city of São Paulo, State of São Paulo, Brazil.
The Chemist team assigned to this engagement will consist of one Senior Analytical Chemist (lead), two Junior Chemists, and one Quality Assurance Chemist, all holding valid registrations with the Conselho Regional de Química – 4º Região (São Paulo). All services will be conducted in strict accordance with Brazilian pharmacopoeia standards, ANVISA regulations, and Good Laboratory Practice (GLP) protocols as mandated for pharmaceutical operations in Brazil São Paulo.

- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, pricing may be subject to revision due to fluctuations in reagent costs, exchange rates, or regulatory changes in Brazil São Paulo.
- All Chemist personnel engaged under this Quotation Estimate are employees of LabQuímica São Paulo Ltda. and are not to be considered agents or representatives of the Client for any purpose.
- Payment shall be made via bank transfer (TED/PIX) to the account specified in the invoice, within thirty (30) days from the date of invoice issuance. Late payments shall accrue interest at the rate of 1% per month plus a 2% penalty, in accordance with Brazilian commercial law.
- The Chemist services described herein are subject to the Client providing adequate sample materials, raw data, and timely access to production facilities located in São Paulo, Brazil.
- All analytical results and reports produced by the Chemist team shall be delivered in both Portuguese and English, formatted in compliance with ANVISA and ICH guidelines.
- Confidentiality: All proprietary information, formulations, and data exchanged under this Quotation Estimate shall be treated as strictly confidential by both parties for a period of five (5) years following contract termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the São Paulo metropolitan region.
- This Quotation Estimate does not constitute a binding contract until a formal Service Agreement is executed by both parties. The terms herein are indicative and subject to final negotiation.
- Any disputes arising from this Quotation Estimate or the subsequent contract shall be resolved by arbitration in the city of São Paulo, State of São Paulo, Brazil, in accordance with the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá).
- The Chemist team shall maintain full professional liability insurance coverage of no less than R$ 5,000,000.00 throughout the duration of the engagement.
By signing below, the Client acknowledges receipt of this Quotation Estimate for Chemist services in Brazil São Paulo and agrees to the terms, conditions, and pricing outlined herein. This signature does not constitute a final contract but serves as an expression of intent to proceed with the formal Service Agreement.
