3.1 Validity: This Quotation Estimate remains valid for sixty (60) calendar days from the date of issue. Should the client wish to proceed beyond this period, a revised Quotation Estimate reflecting any changes in chemist labour rates or material costs in Canada Toronto will be issued.
3.2 Payment Terms: Payment is due within thirty (30) days of invoice issuance. A 1.5% monthly late-payment interest charge applies to outstanding balances. The Quotation Estimate total is payable in three equal installments: 40% upon contract execution, 35% at the midpoint of the service period, and 25% upon final delivery and acceptance of all chemist work products.
3.3 Scope Changes: Any modification to the chemist services outlined in this Quotation Estimate must be approved in writing by both parties. Additional hours or services beyond the quoted scope will be billed at the applicable unit rates specified in Section 2.
3.4 Compliance: All chemist personnel shall operate in full compliance with the Ontario Occupational Health and Safety Act, the Canadian Environmental Protection Act, and applicable Health Canada regulations. The Quotation Estimate assumes standard laboratory conditions at the Canada Toronto site; hazardous material handling surcharges, if applicable, will be itemized separately.
3.5 Confidentiality: All data, formulations, and proprietary information exchanged under this Quotation Estimate engagement are subject to a mutual Non-Disclosure Agreement (NDA) to be executed prior to commencement of chemist services.
3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes shall be resolved through arbitration in Toronto, Canada.
3.7 Cancellation: Either party may cancel this Quotation Estimate engagement with fourteen (14) days written notice. In the event of early cancellation, all chemist services rendered up to the cancellation date shall be invoiced in full.
By signing below, both parties acknowledge that this Quotation Estimate accurately represents the agreed-upon chemist services, pricing, and terms for work to be performed in Canada Toronto. This document does not constitute a binding contract until a formal Service Agreement is executed by both parties.
