- Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, all prices and availability of Chemist services are subject to revision due to market fluctuations in pharmaceutical reagents and labor costs in Colombia Medellín.
- Payment Terms: 40% advance payment upon contract signing; 30% upon completion of the first six (6) months of service delivery; 30% upon final acceptance and delivery of all reports. Payments shall be made via bank transfer to the account specified in the commercial contract.
- Delivery and Performance: All Chemist services shall be performed at the client's facility in Medellín, Antioquia, or at Quimifarma Medellín S.A.S. accredited laboratories as mutually agreed. Service commencement is contingent upon full execution of the definitive contract.
- Regulatory Compliance: All pharmaceutical analyses, testing, and consulting services shall strictly adhere to Colombian national regulations, INVIMA technical guidelines, ICH Q7/Q8/Q9 standards, and applicable resolutions of the Ministry of Health and Social Protection of Colombia.
- Confidentiality: All data, formulations, and proprietary information exchanged during the execution of this Quotation Estimate engagement shall be treated as strictly confidential and protected under Colombian Law 1581 of 2012 (Data Protection) and the applicable commercial confidentiality clauses.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in Colombia Medellín.
- Warranty: Quimifarma Medellín S.A.S. guarantees that all Chemist professionals assigned to this project hold valid professional licenses (Cédula Profesional) issued by the Colombian Ministry of Health and maintain current continuing education credits.
- Dispute Resolution: Any disputes arising from this Quotation Estimate or the subsequent contract shall be resolved through mediation in the city of Medellín, Antioquia, in accordance with Colombian civil and commercial law.
By signing below, both parties acknowledge that this Quotation Estimate represents a good-faith offer for the described Chemist services in Colombia Medellín and that acceptance of these terms shall lead to the execution of a definitive commercial contract within fifteen (15) business days.
