1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After 15 July 2025, prices may be adjusted to reflect changes in wholesale pharmaceutical costs, BfArM reference pricing, or exchange rate fluctuations applicable to imports into Germany Munich.
2. Payment Terms: Invoicing shall be issued monthly in arrears. Payment is due within fourteen (14) days of invoice date via SEPA bank transfer to the account of Pharmacie Müller & Söhne GmbH, IBAN: DE89 3704 0044 0532 0130 00, BIC: COBADEFFXXX. Late payments shall incur interest at the statutory rate under § 288 BGB.
3. Delivery & Acceptance: All pharmaceutical products shall be delivered to the client's premises in Munich, Germany. The client is responsible for verifying the integrity of cold-chain packaging upon receipt. Any discrepancies must be reported to the assigned Chemist within 24 hours of delivery.
4. Regulatory Compliance: The Chemist services provided under this Quotation Estimate are governed by the German Pharmacy Act (Apothekengesetz), the Bavarian Pharmacy Ordinance (BayAPO), and applicable EU pharmaceutical regulations. The client agrees to maintain all necessary permits for the storage and dispensing of controlled substances (Betäubungsmittel) in accordance with the Narcotics Act (BtMG).
5. Confidentiality & Data Protection: All patient data and prescription information exchanged in connection with this Quotation Estimate shall be handled in strict accordance with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR). No data shall be shared with third parties without explicit written consent.
6. Cancellation & Termination: Either party may terminate the ongoing service agreement with a written notice period of sixty (60) days. The Quotation Estimate for one-time services (items 01, 02, 05, 06) is non-cancellable once production or procurement has commenced.
7. Governing Law & Jurisdiction: This Quotation Estimate and any resulting contractual relationship shall be governed by the laws of the Federal Republic of Germany. Exclusive jurisdiction for any disputes shall lie with the competent court in Munich, Germany (Landgericht München I).
8. Insurance & Liability: Pharmacie Müller & Söhne GmbH maintains professional indemnity insurance with a coverage of € 5,000,000 per claim. The Chemist assumes liability for product quality and service delivery in accordance with § 280 BGB. Liability for indirect or consequential damages is excluded to the extent permitted by law.
