All amounts are expressed in West African CFA Francs (XOF). Exchange rate reference: 1 EUR ≈ 655.957 XOF. This Quotation Estimate does not include international shipping costs should any reagents require importation from outside the UEMOA zone.
- Validity: This Quotation Estimate remains valid for thirty (30) calendar days from the date of issue. After this period, prices may be revised due to fluctuations in the XOF exchange rate or changes in the cost of imported chemical reagents.
- Payment Terms: 40% advance payment upon acceptance of this Quotation Estimate; 35% upon delivery of equipment and reagents to the Abidjan site; 25% upon completion of all Chemist services and final quality assurance sign-off.
- Delivery: All physical goods shall be delivered to the client's facility in Abidjan, Ivory Coast, within fifteen (15) business days of receipt of the advance payment. Professional Chemist services shall commence within ten (10) business days of contract execution.
- Regulatory Compliance: All products and services provided under this Quotation Estimate comply with the pharmacopoeial standards of the Pharmacopée Française, the West African Pharmacopoeia, and the specific regulations of the Agence Nationale de Régulation de la Pharmacie (ANRP) of Ivory Coast.
- Warranty: All laboratory equipment supplied carries a minimum twelve (12) month manufacturer's warranty. The Chemist advisory services are guaranteed to meet the professional standards set by the Ordre des Pharmaciens de Côte d'Ivoire.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to port closures at the Port d'Abidjan, national strikes, or regulatory suspensions by Ivorian authorities.
- Dispute Resolution: Any dispute arising from this Quotation Estimate shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial courts of Abidjan, Ivory Coast.
- Confidentiality: All formulations, analytical data, and proprietary information exchanged under this engagement shall remain strictly confidential in accordance with Ivorian commercial law.
By signing below, both parties acknowledge that this Quotation Estimate constitutes a binding commercial proposal for the Chemist services and laboratory supply items described herein, to be executed within the jurisdiction of Abidjan, Republic of Côte d'Ivoire (Ivory Coast). This document shall serve as the foundational reference for the subsequent formal service contract.
