4.1 Validity: This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue. Should the client wish to proceed beyond this period, a revised Quotation Estimate reflecting any changes in Chemist service rates or Japan Osaka regulatory requirements will be issued at no additional cost.
4.2 Payment Terms: Payment for all Chemist services and supplies detailed in this Quotation Estimate shall be made within sixty (60) days of invoice issuance. Invoices will be issued on a quarterly basis. Late payments shall incur an interest charge of 1.5% per month, in accordance with the Late Payment Interest on Corporate Transactions Act applicable in Japan Osaka.
4.3 Scope Changes: Any modification to the scope of Chemist services, additional locations within Japan Osaka, or changes in the volume of pharmaceutical supply must be documented through a formal change order. A supplementary Quotation Estimate will be prepared to reflect any such adjustments before work commences.
4.4 Regulatory Compliance: All Chemist operations conducted under this Quotation Estimate in Japan Osaka shall strictly adhere to the Pharmaceutical and Medical Devices Act, the Medical Care Act, and all applicable Osaka Prefectural regulations. Our Chemist team holds valid licenses issued by the Osaka Prefectural Board of Pharmacy.
4.5 Confidentiality: All patient data, prescription records, and proprietary information exchanged during the execution of this Quotation Estimate shall be treated as strictly confidential in accordance with Japan's Act on the Protection of Personal Information (APPI).
4.6 Force Majeure: Neither party shall be liable for failure to perform obligations under this Quotation Estimate due to natural disasters, government mandates, or other events beyond reasonable control, including but not limited to typhoons affecting the Japan Osaka region.
Important Note: This Quotation Estimate is a non-binding document and does not constitute a formal contract. A definitive service agreement for the Chemist operations in Japan Osaka will be executed upon mutual acceptance of this Quotation Estimate and completion of all regulatory approvals by the Osaka Prefectural Board of Pharmacy.
