This Quotation Estimate is issued by the undersigned Chemist, Dr. Alexander V. - Validity: This Quotation Estimate shall remain valid for thirty (30) calendar days from the date of issue. After the expiry date, the Chemist reserves the right to revise pricing due to fluctuations in reagent costs, exchange rates, or changes in regulatory requirements applicable in Russia Saint Petersburg.
- Payment Terms: Payment shall be made in Russian Rubles (RUB) via bank transfer to the Chemist's designated account. A 40% advance payment is due upon contract execution, with the remaining 60% payable in two equal monthly installments. Late payments shall incur a penalty of 0.1% per calendar day as stipulated under Article 317.1 of the Civil Code of the Russian Federation.
- Performance Period: All services outlined in this Quotation Estimate shall be rendered over a period of twelve (12) months from the date of the signed service agreement. The Chemist guarantees availability for on-site visits in Saint Petersburg no fewer than two (2) times per month.
- Regulatory Compliance: The Chemist warrants that all analytical work, formulation activities, and regulatory submissions shall strictly comply with the Russian Pharmacopoeia (15th edition), GOST R standards, and all directives issued by Roszdravnadzor and the Ministry of Health of the Russian Federation.
- Confidentiality: All data, formulations, and proprietary information exchanged between the Chemist and the client shall be treated as strictly confidential in accordance with Federal Law No. 152-FZ "On Personal Data" and the commercial secrecy provisions of the Civil Code of the Russian Federation.
- Intellectual Property: All formulations, methods, and technical reports developed by the Chemist specifically for the client under this Quotation Estimate shall become the exclusive property of the client upon full payment. General methodologies and pre-existing knowledge of the Chemist remain the Chemist's intellectual property.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Russia Saint Petersburg.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Russian Federation. Disputes shall be resolved by the Arbitration Court of Saint Petersburg and the Leningrad Region.
By signing below, both parties acknowledge that they have read, understood, and agree to the terms set forth in this Quotation Estimate. This document, once countersigned, shall serve as the basis for the preparation of the definitive Service Agreement between the Chemist and the Client.
