1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all prices and availability of chemist services listed herein are subject to revision by Pharmacia Barcelona Central S.L.
2. All pharmaceutical products and chemist services described in this estimate shall be provided in strict accordance with the Spanish Pharmacopoeia, the regulations of the Agencia Española de Medicamentos y Productos Sanitarios (AEMPS), and the professional standards set by the Col&legi Oficial de Farmacèutics de Barcelona.
3. Payment terms: Net 30 days from the date of invoice issuance. Invoices shall be issued monthly in arrears. Late payments shall incur interest at the rate established by the Spanish Ley 3/2004 on late payment in commercial transactions.
4. Delivery of all pharmaceutical products shall be made to the client's premises in Spain Barcelona. The chemist provider shall ensure cold-chain integrity for temperature-sensitive products and shall provide delivery confirmation documentation for each shipment.
5. The client acknowledges that all prescription-based pharmaceutical products can only be dispensed upon presentation of a valid prescription issued by a licensed physician registered in Spain. The chemist team reserves the right to refuse dispensing if clinical contraindications are identified.
6. This Quotation Estimate does not constitute a binding contract until both parties have executed a formal service agreement. Acceptance of this estimate shall be confirmed in writing by the client within the validity period.
7. Any modifications to the scope of chemist services, quantities, or delivery schedules must be agreed upon in writing by both parties prior to implementation. Amendments shall be documented as addenda to this Quotation Estimate.
8. This agreement is governed by the laws of Spain, and any disputes arising from this Quotation Estimate shall be resolved by the competent courts of Barcelona, Spain Barcelona, in accordance with the Spanish Civil Procedure Law (Ley de Enjuiciamiento Civil).
9. The chemist provider maintains professional indemnity insurance with a minimum coverage of 1,000,000 EUR, as required by the COFB for all registered pharmacy establishments operating in the Barcelona metropolitan area.
