- Validity: This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, the Chemist supplier reserves the right to revise pricing due to fluctuations in the Sudan Khartoum market, currency exchange rates, or changes in import regulations.
- Payment Terms: Payment shall be made within thirty (30) days of the date of invoice issuance. A 50% advance payment is required upon acceptance of this Quotation Estimate to secure production and procurement schedules. The remaining 50% shall be due upon confirmed delivery and acceptance at the client's facility in Khartoum.
- Delivery Schedule: All physical goods shall be delivered to the designated location in Sudan Khartoum within twenty-one (21) business days of receipt of the advance payment. Cold-chain items (Items 03 and 04) shall be delivered in a dedicated refrigerated vehicle maintained at 2–8 °C throughout transit.
- Quality Assurance: The Chemist supplier guarantees that all pharmaceutical and laboratory chemicals conform to the latest edition of the Sudanese Pharmacopoeia and, where applicable, the United States Pharmacopeia (USP) or European Pharmacopoeia (EP). Certificates of Analysis (CoA) and Material Safety Data Sheets (MSDS) shall accompany every shipment.
- Regulatory Compliance: All products and services are subject to the approval and oversight of the Sudanese Ministry of Health and the National Food and Drug Administration. The Chemist firm holds a valid Commercial License No. KH-2024-08731 and a Pharmaceutical Distribution Permit issued for operations within Sudan Khartoum.
- Warranty and Returns: All products carry a minimum shelf life of twelve (12) months from the date of delivery. Any item found to be damaged, expired, or non-conforming upon receipt may be returned within seven (7) days for a full replacement or credit against the Quotation Estimate total.
- Force Majeure: Neither party shall be held liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to civil unrest, natural disasters, government-imposed trade restrictions, or currency controls affecting the Sudan Khartoum region.
- Dispute Resolution: Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial courts of Khartoum, Republic of Sudan.
- Confidentiality: All pricing, technical specifications, and business information contained in this Quotation Estimate are strictly confidential and shall not be disclosed to third parties without the prior written consent of both the Chemist supplier and the client.
