- 30% advance payment (CHF 17,234.15) due upon written acceptance of this Quotation Estimate, to be transferred to the Chemist's designated bank account in Switzerland Zurich within 5 business days.
- 40% interim payment (CHF 22,978.87) due upon completion of all chemical analyses and formulation development (Items 02 and 03).
- 30% final payment (CHF 17,234.16) due upon delivery of the final audit report, regulatory dossiers, and completion of all training sessions.
- Payment is to be made via bank transfer to: UBS AG, Bahnhofstrasse 10, 8001 Zurich. IBAN: CH93 0076 2011 6238 5295 7. Reference: QE-2025-04187.
- Late payments shall incur interest at the statutory Swiss rate of 5% per annum, calculated from the due date until full settlement.
- This Quotation Estimate is valid for a period of 30 calendar days from the date of issue. After expiry, the Chemist reserves the right to revise pricing due to market fluctuations in reagent costs or changes in Swiss regulatory requirements.
- All services described in this Quotation Estimate shall be performed by the named Chemist or, where explicitly agreed in writing, by qualified associate chemists under the direct supervision of Dr. Marchetti.
- The Chemist shall maintain full professional indemnity insurance and Swiss Federal Occupational Accident Insurance (UVG) coverage throughout the engagement period.
- Confidentiality: All data, samples, and proprietary information exchanged in connection with this Quotation Estimate and the resulting contract shall be treated as strictly confidential in accordance with Swiss Federal Act on Data Protection (FADP/DSP).
- Intellectual property generated during the course of this engagement shall be owned by PharmaNova AG, subject to a non-exclusive license retained by the Chemist for academic publication purposes, with prior written consent from the client.
- Disputes arising from this Quotation Estimate or the resulting agreement shall be governed by the laws of Switzerland and shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich, Switzerland Zurich.
- Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated laboratory closures in Switzerland Zurich, shall suspend performance obligations without penalty to either party.
By signing below, the client acknowledges and accepts this Quotation Estimate in full. The Chemist confirms readiness to commence services within 10 business days of receipt of the advance payment. This document, once signed by both parties, constitutes a binding agreement for the services described herein.
