1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issuance. After the expiration date, all rates and pricing structures may be subject to revision based on current market conditions in the United States Chicago chemical services sector.
2. Payment Terms: A non-refundable deposit of twenty-five percent (25%) of the Grand Total is due upon acceptance of this Quotation Estimate. The remaining balance shall be invoiced in three equal monthly installments aligned with the project milestones. All payments are due within fifteen (15) business days of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month.
3. Scope Limitations: The Chemist services outlined in this document are limited to the specific items enumerated above. Any additional analytical testing, emergency consultations, or scope modifications requested by the client beyond the agreed deliverables will be subject to a separate Quotation Estimate and written approval prior to commencement.
4. Location of Services: All on-site services, laboratory work, and in-person consultations referenced in this Quotation Estimate shall be conducted at the client's premises located in United States Chicago, Illinois, or at the Whitfield Analytical Chemistry Group laboratory facility in the Chicago Loop district, as mutually agreed upon in writing.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary formulations, trade secrets, and business information exchanged during the course of this engagement. This obligation shall survive the termination of this Quotation Estimate for a period of five (5) years.
6. Liability and Insurance: Whitfield Analytical Chemistry Group maintains professional liability insurance coverage of $2,000,000 per occurrence. The Chemist services provided shall be performed with reasonable skill, care, and in compliance with all applicable federal, state (Illinois), and local (City of Chicago) regulations.
7. Acceptance: This Quotation Estimate shall become a binding agreement upon written acceptance by both parties. The client's signature below constitutes full authorization to proceed with the Chemist services as described herein.
