1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, all prices and availability of Chemist services may be subject to revision based on market conditions in Vietnam Ho Chi Minh City.
2. Payment Terms: A 40% advance payment is required upon acceptance of this Quotation Estimate. The remaining 60% shall be settled within fifteen (15) business days following completion of each service milestone. Payments shall be made via bank transfer to the account of PharmaChem Vietnam Co., Ltd., Bank for Foreign Trade of Vietnam (Vietcombank), Ho Chi Minh City Branch.
3. Scope of Work: All Chemist services described herein shall be performed by licensed and certified chemists holding valid professional credentials issued by the Vietnamese Ministry of Health. The services will be executed at the client's designated facility in Ho Chi Minh City unless otherwise agreed in writing.
4. Deliverables: All analytical reports, formulation records, and compliance documents shall be delivered in both Vietnamese and English. Digital copies (PDF) will be provided within five (5) business days of service completion, with hard copies available upon request.
5. Cancellation and Changes: The client may cancel or modify any item in this Quotation Estimate up to seven (7) business days before the scheduled service date without penalty. Cancellations within seven days will incur a 20% administrative fee on the affected line items.
6. Liability: PharmaChem Vietnam Co., Ltd. shall not be held liable for any indirect or consequential damages arising from the use of Chemist services or products supplied under this Quotation Estimate. Total liability shall not exceed the total value of this estimate.
7. Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, with jurisdiction vested in the People's Court of District 1, Ho Chi Minh City.
8. Confidentiality: All data, formulations, and proprietary information exchanged during the execution of this Quotation Estimate shall be treated as strictly confidential by both parties for a period of three (3) years following completion of services.
Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to the terms, conditions, and pricing outlined in this Quotation Estimate for Chemist services to be rendered in Vietnam Ho Chi Minh City. This document serves as a binding commercial proposal upon mutual signature and does not constitute a final contract until a formal service agreement is executed.
