- 1. Validity: This Quotation Estimate shall remain valid for thirty (30) days from the date of issue. After the expiration date, all rates and availability of the proposed Computer Engineer team are subject to re-evaluation.
- 2. Payment Schedule: Payment shall be made in quarterly installments of 25% each, due within thirty (30) days of invoice issuance. A 10% mobilization fee is due upon contract execution.
- 3. Scope Changes: Any modification to the scope of work beyond the parameters outlined in this Quotation Estimate must be approved in writing by both parties. Additional costs will be itemized in a supplementary estimate.
- 4. Professional Standards: The Computer Engineer assigned to this project holds a valid P.Eng. designation from Professional Engineers Ontario and shall comply with all applicable Canadian engineering codes, the Ontario Building Code, and municipal regulations in Canada Toronto.

- 7. Termination: Either party may terminate this agreement with sixty (60) days written notice. In the event of early termination, the client shall be invoiced for all services rendered up to the termination date plus applicable HST.
- 8. Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto.
- 9. Dispute Resolution: Any disputes arising from this engagement shall be resolved through mediation in Toronto, Ontario, before proceeding to arbitration under the Arbitration Act (Ontario).
