1. Executive Summary

2. Scope of Services – Computer Engineer Engagement

5. Terms and Conditions
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Any acceptance beyond this period requires written reconfirmation of pricing.
- All prices are quoted in Chinese Yuan (CNY) and are inclusive of applicable Value Added Tax (VAT) as mandated by the State Taxation Administration for operations in China Shanghai.
- The Computer Engineer assigned to this project shall not be reassigned without the prior written consent of the client. In the event of unavoidable reassignment, a replacement of equal or superior qualification must be provided within five (5) business days.
- All intellectual property generated specifically for the client under this engagement shall vest in the client upon full payment. General methodologies, tools, and pre-existing IP of Shanghai TechBridge Solutions remain the property of the service provider.
- The Computer Engineer and all supporting personnel shall comply with all data protection obligations under the Personal Information Protection Law (PIPL) of the People's Republic of China and the Shanghai Municipal Data Regulations.
- Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting the China Shanghai region, shall suspend project timelines without penalty to either party.
- Disputes arising from this Quotation Estimate and the resulting contract shall be resolved through arbitration by the Shanghai Arbitration Commission (SHIAC) in accordance with its rules of procedure.
- Warranty on all hardware components is provided by the original equipment manufacturer (OEM) for a minimum of three (3) years from the date of installation in China Shanghai.
- This Quotation Estimate does not constitute a binding contract until a formal Service Agreement is executed by authorized representatives of both parties.
