- 1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, pricing may be subject to revision due to market fluctuations in the Ivory Coast technology sector.
- 2. Payment Terms: A 30% advance payment is due upon acceptance of this Quotation Estimate. The remaining balance shall be invoiced monthly in arrears. All payments shall be made in West African CFA Francs (XOF) via bank transfer to our account at Ecobank, Abidjan branch.
- 3. Commencement: The Computer Engineer engagement shall commence within ten (10) business days of receipt of the advance payment and formal contract signature.
- 4. Working Hours: The Computer Engineer shall work standard business hours in Abidjan, Monday through Friday, 08:00 to 17:00, with a one-hour lunch break. Overtime, if required, shall be compensated at 1.5x the hourly rate as per Ivory Coast labor law.
- 5. Intellectual Property: All software, documentation, and deliverables produced by the Computer Engineer during the engagement shall become the exclusive property of the client upon full payment.
- 6. Confidentiality: The Computer Engineer and all supporting personnel shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary information of the client.
- 7. Termination: Either party may terminate the engagement with thirty (30) days written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date.
- 8. Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Republic of Côte d'Ivoire. Any disputes shall be resolved through the competent courts of Abidjan.
- 9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-imposed restrictions within the Ivory Coast.
- 10. Compliance: All services rendered by the Computer Engineer shall comply with applicable Ivory Coast regulations, including the Code du Travail, data protection laws, and tax obligations administered by the Direction Générale des Impôts (DGI) in Abidjan.
