Payment for the services outlined in this Quotation Estimate shall be structured as follows:
- 25% Deposit ($60,362.50 incl. GST) due upon signing and acceptance of this Quotation Estimate.
- 30% Progress Payment ($72,435.00 incl. GST) due upon completion of the Curriculum Framework Design (Item 02).
- 30% Progress Payment ($72,435.00 incl. GST) due upon completion of Subject-Specific Modules and Assessment Framework (Items 03 & 04).
- 15% Final Payment ($36,217.50 incl. GST) due upon final delivery, IP transfer, and client sign-off (Items 06 & 08).
All payments are to be made via bank transfer to the account of Sydney Educational Solutions Pty Ltd. Invoices will be issued in accordance with Australian Taxation Office (ATO) requirements. Late payments will attract interest at the rate of 2% per month as per the Australian Consumer Law.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, pricing may be subject to revision due to market conditions in the Australia Sydney education services sector.
- The Curriculum Developer shall maintain professional indemnity insurance with a minimum coverage of AUD $10,000,000 throughout the duration of the engagement.
- All work products, including curriculum documents, frameworks, and digital assets, shall become the sole intellectual property of the client upon full and final payment.
- The Curriculum Developer commits to a minimum of 95% availability during the engagement period. Any unavailability exceeding five (5) consecutive business days must be communicated in writing at least fourteen (14) days in advance.
- This engagement is governed by the laws of the State of New South Wales, Australia. Any disputes shall be resolved through mediation in Sydney, NSW, in accordance with the Civil Procedure Act 2005 (NSW).
- The client agrees to provide reasonable access to teaching staff, existing curriculum materials, and institutional data necessary for the Curriculum Developer to perform the services described herein.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all institutional data, student information, and proprietary materials shared during the engagement, in compliance with the Privacy Act 1988 (Cth) and the NSW Information Privacy & Privacy Protection Act 1998.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Australia Sydney.
