5.1 Validity: This Quotation Estimate remains valid for a period of ninety (90) calendar days from the date of issue. After this period, all rates and conditions are subject to revision.
5.2 Payment Terms: Payment shall be made in three instalments: 30% upon contract signing, 40% upon delivery of the Curriculum Framework Design (Item 3.2), and 30% upon final acceptance of all deliverables. Invoices are payable within 30 days of receipt in accordance with German commercial practice (BGB § 286).
5.3 Intellectual Property: All curriculum materials, frameworks, and documentation produced by the Curriculum Developer under this engagement shall become the exclusive property of the client upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with prior written consent.
5.4 Data Protection: All personal data processed during this project shall be handled in strict compliance with the European General Data Protection Regulation (GDPR/DSGVO) and the Berliner Datenschutzgesetz. A Data Processing Agreement (DPA) will be executed prior to project commencement.
5.5 Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of the Federal Republic of Germany. Disputes shall be resolved by the competent courts in Berlin, Germany.
5.6 Cancellation: Either party may terminate the engagement with a written notice period of thirty (30) days. In the event of early termination, the client shall be invoiced for all services rendered up to the termination date.
Note: This Quotation Estimate assumes that the client will provide timely access to all existing curriculum documents, school data, and relevant personnel for interviews. Costs associated with international travel beyond Berlin, Germany, or the need for additional Curriculum Developer resources beyond the single senior professional outlined herein, are excluded and will be subject to a separate supplementary quotation.
