The Curriculum Developer assigned to this project will operate primarily out of our office in Italy Milan, with the option of on-site visits to the client's premises within the Milan metropolitan area. The Curriculum Developer will be a certified instructional design professional with a minimum of ten years of experience in curriculum architecture, adult and vocational education, and alignment with the European Qualifications Framework (EQF). Payment for the services outlined in this Quotation Estimate shall be made in three instalments, all payable by bank transfer to the account of EdiForma Professional Solutions S.r.l. in Milan, Italy:

Instalment 1 – 40% (€ 36,658.56): Due upon signature of this Quotation Estimate and the accompanying Service Agreement, prior to the commencement of the initial needs assessment phase.
Instalment 2 – 40% (€ 36,658.56): Due upon completion and client sign-off of the curriculum architecture and content development phases (Items 2 and 3 above).
Instalment 3 – 20% (€ 18,329.28): Due upon final delivery, quality assurance sign-off, and handover of all curriculum documentation (Items 4 and 5 above).

All invoices will be issued in accordance with Italian fiscal regulations (DPR 633/1972). Late payments will accrue interest at the rate of 1.5% per month, in compliance with the Italian Code of Civil Procedure.

This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, pricing and availability of the Curriculum Developer are subject to reconfirmation.
All intellectual property rights in the final curriculum deliverables shall transfer to the client upon full payment of the total amount specified in this Quotation Estimate. Until such payment is received, all materials remain the exclusive property of EdiForma Professional Solutions S.r.l.
The Curriculum Developer will comply with all applicable data protection regulations, including the EU General Data Protection Regulation (GDPR) and the Italian Privacy Code (D.Lgs. 196/2003, as amended by D.Lgs. 101/2018), particularly with respect to any personal data collected during the needs assessment and pilot phases in Italy Milan.
Any changes to the scope of work beyond the parameters defined in this Quotation Estimate will be subject to a formal change order, signed by both parties, with a corresponding adjustment to the total cost.
The Curriculum Developer reserves the right to subcontract non-core administrative tasks (e.g., graphic design of learner materials) to approved third-party vendors based in Italy Milan, provided that the quality standards and confidentiality obligations of this engagement are maintained.
This Quotation Estimate does not constitute a binding contract until both parties have executed the definitive Service Agreement. It serves solely as a good-faith estimate of costs and scope.
Disputes arising from this Quotation Estimate or the subsequent Service Agreement shall be resolved through the competent courts of Milan, Italy, in accordance with Italian law.
