3.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, the Curriculum Developer reserves the right to revise pricing due to market conditions, resource availability, or changes in New Zealand Auckland operational costs.
3.2 Payment Schedule: Payment shall be made in three (3) instalments: 40% upon acceptance of this Quotation Estimate, 40% upon completion of Item 03 (Instructional Material Development), and 20% upon final handover and sign-off. All payments are due within fourteen (14) days of invoice date via bank transfer to the account details provided by Auckland Learning Design Consultancy Ltd.
3.3 Intellectual Property: Upon full payment, all curriculum materials, frameworks, and documentation developed by the Curriculum Developer shall become the sole intellectual property of the client institution. The Curriculum Developer retains the right to reference the project in professional portfolios and case studies, subject to the client's written approval for any public disclosure.
3.4 Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all institutional data, student information, and proprietary content encountered during the engagement in New Zealand Auckland, in accordance with the New Zealand Privacy Act 2020.
3.5 Cancellation & Termination: Either party may terminate this engagement with fourteen (14) days' written notice. In the event of client-initiated cancellation, fees for work completed to date, plus a 10% administrative surcharge, shall be payable. The Curriculum Developer shall deliver all work-in-progress materials to the client upon termination.
3.6 Dispute Resolution: Any disputes arising from this Quotation Estimate shall be resolved through mediation in Auckland, New Zealand, in accordance with the New Zealand Disputes Tribunal Act 2012, before escalation to the District Court of Auckland.
3.7 Governing Law: This Quotation Estimate and the services described herein shall be governed by and construed in accordance with the laws of New Zealand.
