  2. All intellectual property rights to the curriculum materials, syllabi, and digital content developed by the Curriculum Developer shall transfer to the client upon full and final payment.

  4. Any changes to the scope of work beyond the items listed in Section 2 shall require a written change order and a revised Quotation Estimate approved by both parties.
