1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, pricing may be subject to revision based on market conditions in the Thailand Bangkok professional services sector.
2. All rates are quoted in Thai Baht (THB) and are inclusive of the Curriculum Developer's professional expertise, travel within Bangkok metropolitan area, and standard working hours (09:00–17:00, Monday to Friday).
3. Overtime, weekend work, or travel outside the Bangkok metropolitan area will be billed at 1.5× the standard daily rate and requires prior written approval from the client.
4. The client shall provide all necessary access to facilities, existing curriculum documents, student data (in compliance with Thailand's Personal Data Protection Act B.E. 2562 / PDPA 2019), and administrative support required for the Curriculum Developer to perform the scope of work.
5. Intellectual property of all deliverables transfers to the client upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with client consent.
6. Any changes to the scope of work must be documented in a formal Change Order signed by both parties. Adjustments to the Quotation Estimate will be issued within five (5) business days of the approved Change Order.
7. Payment is due within fourteen (14) calendar days of invoice date. Late payments shall accrue interest at 1.5% per month as per Thai commercial law.
8. This agreement is governed by the laws of the Kingdom of Thailand. Any disputes shall be resolved through the Bangkok Commercial Court or by arbitration under the Thai Arbitration Institute.
9. The Curriculum Developer shall maintain professional indemnity insurance with a minimum coverage of THB 10,000,000 throughout the project duration.
10. Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Thailand Bangkok region, shall extend project timelines proportionally without penalty to either party.
