3.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, pricing for Curriculum Developer services may be subject to revision based on market conditions in the United States Chicago educational services sector.
3.2 Payment Schedule: Payment shall be made in four (4) equal quarterly installments of $46,887.56 (USD), due on the 15th of the first month of each quarter. A 15% mobilization deposit is required upon execution of the contract to commence Curriculum Developer onboarding.
3.3 Scope Changes: Any modification to the scope of Curriculum Developer services beyond the parameters outlined in this Quotation Estimate will require a written change order signed by both parties. Additional hours will be billed at the applicable hourly rate specified in Section 2.
3.4 Intellectual Property: All curriculum materials, frameworks, assessments, and training modules developed by the Curriculum Developer team under this engagement shall become the sole property of the Client upon full payment. The Curriculum Developer retains the right to reference the project in professional portfolios with Client written consent.
3.5 Compliance: All Curriculum Developer deliverables will comply with Illinois state education statutes, the Chicago Public Schools board policies, Title I federal requirements, and applicable United States Chicago municipal regulations governing educational content and accessibility (Section 508 / ADA).
3.6 Confidentiality: Both parties agree to maintain strict confidentiality regarding student data, institutional strategies, and proprietary curriculum content. This obligation survives contract termination for a period of five (5) years.
3.7 Termination: Either party may terminate this Quotation Estimate agreement with thirty (30) days written notice. In the event of early termination, the Client shall pay for all Curriculum Developer services rendered through the termination date, plus a 10% completion fee on in-progress deliverables.
3.8 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the State of Illinois, United States Chicago, Cook County jurisdiction.
