Payment for this Quotation Estimate shall be structured as follows:
- 30% Deposit ($46,069.90) due upon execution of the contract and acceptance of this Quotation Estimate.
- 40% Milestone Payment ($61,426.54) due upon completion of Curriculum Framework Design and delivery of the first two subject-area lesson plans (end of Week 8).
- 30% Final Payment ($46,069.90) due upon final delivery, acceptance, and sign-off of all curriculum materials (end of Week 19).
All payments shall be made via wire transfer or ACH to the account designated by Meridian Educational Consulting LLC. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State commercial law.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, pricing and availability of the Curriculum Developer are subject to reconfirmation.
- All work performed under this engagement shall comply with the educational regulations of the United States New York City Department of Education and the New York State Education Department.
- The Curriculum Developer shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence throughout the duration of the project.
- Intellectual property rights for all curriculum materials developed under this Quotation Estimate shall transfer to the Client upon full and final payment.
- Either party may terminate this agreement with thirty (30) days written notice. In the event of early termination, the Client shall be liable for all work completed up to the termination date.
- This Quotation Estimate does not constitute a guarantee of student performance outcomes. The Curriculum Developer guarantees the quality, standards-alignment, and professional delivery of all materials as specified herein.
- Any changes to scope, timeline, or deliverables must be documented in a written Change Order signed by both parties prior to implementation.
- Governing law for this Quotation Estimate shall be the laws of the State of New York, and any disputes shall be resolved in the courts of New York County, United States New York City.
