The Customs Officer engaged under this Quotation Estimate will be a fully licensed professional registered with the Brazilian Federal Revenue Service (Receita Federal do Brasil) and authorized to operate under the current legislation of the Brazilian Customs Code (Código Aduaneiro — Decreto-Lei nº 37/66) and all subsequent amendments. The Customs Officer will be physically stationed in Brazil São Paulo and will perform the following duties:

- Validity: This Quotation Estimate remains valid for thirty (30) days from the date of issue. After this period, a revised Quotation Estimate must be requested.
- Payment Terms: 50% of the monthly retainer (Item 3.1) is due on the 5th business day of each month. Per-declaration and per-day fees (Items 3.2, 3.4) are invoiced monthly in arrears with payment due within fifteen (15) business days.
- Service Level: The Customs Officer shall respond to all client requests within four (4) business hours during standard operating hours (08:00–18:00 BRT, Monday to Friday) in Brazil São Paulo.
- Confidentiality: All commercial data, shipment details, and client information handled by the Customs Officer are subject to a strict Non-Disclosure Agreement (NDA) in compliance with Brazil's General Data Protection Law (LGPD — Lei nº 13.709/2018).
- Liability and Insurance: The Customs Officer and Meridian Trade Compliance & Logistics Ltda. carry professional indemnity insurance with a coverage limit of R$ 5,000,000.00 per occurrence. Liability for errors or omissions is capped at the total annual contract value.
- Termination: Either party may terminate the engagement with sixty (60) days' written notice. In the event of termination, all fees accrued up to the termination date remain payable.
- Regulatory Changes: Should the Receita Federal or any Brazilian regulatory body introduce new requirements, fees, or procedural changes affecting customs operations in Brazil São Paulo, the Customs Officer will notify the client within five (5) business days, and a supplementary Quotation Estimate will be issued to reflect any cost adjustments.
- Governing Law: This Quotation Estimate and the resulting service agreement shall be governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, SP.
