The Customs Officer engaged under this Quotation Estimate will perform the following duties exclusively within the operational boundaries of Colombia Medellín, including the José María Córdova International Airport, the Medellín Free Trade Zone (Zona Franca de Medellín), and all DIAN customs checkpoints in the Antioquia department:

- This Quotation Estimate assumes standard business hours (Monday to Friday, 8:00 AM – 5:00 PM) for the Customs Officer unless otherwise specified in Item 06.
- Government fees, DIAN processing charges, port authority fees, and third-party inspection costs at Colombia Medellín facilities are excluded and will be billed at cost with supporting documentation.
- Transportation of the Customs Officer to off-site locations beyond a 15 km radius of the Medellín city center will be charged at COP 12,000 per kilometer.
- This estimate does not include legal representation in judicial proceedings before Colombian courts; a separate legal Quotation Estimate will be issued if required.
- All services are limited to the customs jurisdiction of Colombia Medellín and the Antioquia department. Operations in other Colombian cities (Bogotá, Barranquilla, Cartagena) require a separate agreement.
- Monthly retainer (Item 01) and Free Trade Zone management (Item 05) are payable in advance on the 1st business day of each month via bank transfer to the account specified in the commercial invoice.
- Per-shipment and per-visit fees (Items 02, 03, 06, 07) are invoiced monthly with a net-15 payment term from the date of invoice issuance.
- A 1.5% monthly late-payment interest rate (as permitted under Colombian commercial law) will apply to overdue balances.
- All invoices will include the applicable 19% Colombian VAT (IVA) and will reference this Quotation Estimate number (QE-CO-MDE-2025-0347).

- Either party may terminate the service agreement with thirty (30) days' written notice. In the event of early termination, the monthly retainer for the notice period remains payable.
- Andes Trade Compliance & Logistics S.A.S. shall maintain professional liability insurance with a minimum coverage of COP 500,000,000 for errors or omissions in customs declarations filed on behalf of the client.
- All data and commercial information provided by the client to the Customs Officer shall be treated as strictly confidential in accordance with Colombian Law 1581 of 2012 (Data Protection) and the terms of a separate Non-Disclosure Agreement (NDA).
- Governing law: The Republic of Colombia. Jurisdiction: The commercial courts of the city of Medellín, Antioquia.
