Payment for the services described in this Quotation Estimate shall be made in United States Dollars (USD) via wire transfer to the designated bank account of Global Trade & Logistics Services SARL, Kinshasa, DR Congo. The payment schedule is structured as follows:
- 30% advance payment upon formal acceptance of this Quotation Estimate and signing of the service contract.
- Monthly installments of the remaining balance, due on the 5th business day of each subsequent month.
- Final settlement upon completion of the 12-month contract term and submission of the final performance report.
All payments are subject to applicable Congolese withholding tax (retenue à la source) at the rate prescribed by the Direction Générale des Impôts (DGI) of DR Congo Kinshasa.
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision.
- The Customs Officer shall be bound by the Code of Conduct of the ODRDC and shall maintain strict confidentiality regarding all customs data, trade secrets, and sensitive operational information encountered in DR Congo Kinshasa.
- Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination, a pro-rata refund of unused fees shall be issued within fifteen (15) business days.
- The Customs Officer shall comply with all national laws of the Democratic Republic of the Congo, including but not limited to the Customs Code (Code des Douanes), the Labour Code, and anti-corruption legislation.
- Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through amicable negotiation. Failing resolution within sixty (60) days, the matter shall be referred to the competent commercial court in Kinshasa, DR Congo.
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties and accompanied by the formal service agreement.
- All intellectual property, reports, and data generated during the engagement shall remain the property of the Directorate of Customs & Border Control, DR Congo.
