All payments referenced in this Quotation Estimate shall be made in United States Dollars (USD) via international wire transfer to the designated account of TechBridge Analytics LLC. The payment schedule for the Data Scientist engagement in Russia Moscow is structured as follows:
- 30% Advance Payment: Due upon signed acceptance of this Quotation Estimate ($28,035.00).
- Monthly Retainer: Invoiced on the 1st business day of each month for the Data Scientist's services.
- Project Milestone Payments: 50% upon model development completion, 50% upon successful deployment and acceptance.
- Final Settlement: Remaining balance due within 15 business days of project completion.
Late payments shall incur a penalty of 1.5% per month on the outstanding balance. All invoices are subject to applicable Russian Value Added Tax (VAT) at the rate of 20%, which will be itemized separately on each invoice.
5.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiration date, pricing for the Data Scientist engagement in Russia Moscow may be subject to revision based on market conditions and currency fluctuations.
5.2 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary data, algorithms, and business strategies shared during the engagement. The Data Scientist shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Russia Moscow.
5.3 Intellectual Property: All models, code, documentation, and analytical outputs created by the Data Scientist during the term of this Quotation Estimate shall become the exclusive property of the client upon full payment.
5.4 Termination: Either party may terminate this engagement with thirty (30) days written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus any non-cancellable commitments.
5.5 Governing Law: This Quotation Estimate and the resulting contract shall be governed by and construed in accordance with the civil laws of the Russian Federation. Any disputes shall be resolved through arbitration in Moscow under the rules of the International Commercial Arbitration Court at the Chamber of Commerce and Industry of Russia.
5.6 Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Russia Moscow.
