3.2 – The remaining 70% shall be invoiced in equal quarterly installments (MAD 1,425,060 per quarter), payable within thirty (30) days of each invoice date.

3.3 – All payments shall be made via bank transfer to Diplomat's designated account at Attijariwafa Bank, Casablanca branch. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.

3.4 – For clients preferring USD settlement, the exchange rate shall be fixed at the Bank Al-Maghrib mid-rate on the date of invoice issuance.

4.1 – This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Beyond this period, Diplomat reserves the right to revise pricing due to market conditions, exchange rate fluctuations, or changes in Moroccan regulatory requirements.

4.2 – All services shall be performed in strict compliance with Moroccan law, including the Moroccan Code of Foreign Trade, the Investment Charter, and applicable diplomatic protocol regulations. Diplomat assumes no liability for delays caused by force majeure events, governmental actions, or sanctions imposed by international bodies.

4.3 – Confidentiality: All information exchanged between Diplomat and the client in connection with this engagement shall be treated as strictly confidential. Diplomat shall not disclose client details, operational strategies, or diplomatic correspondence to any third party without prior written consent.

4.4 – Intellectual Property: All reports, analyses, and deliverables produced by Diplomat under this Quotation Estimate shall remain the exclusive property of the client upon full payment. Diplomat retains the right to reference the engagement in general marketing materials without identifying the client by name.

4.5 – Termination: Either party may terminate the engagement with sixty (60) days' written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a 10% administrative fee on the remaining contract value.

4.6 – Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes shall be submitted to the competent courts of Casablanca, Morocco, or to arbitration under the rules of the Moroccan Arbitration Center (CMA) in Casablanca.
