- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, Diplomat reserves the right to revise pricing due to market fluctuations in Peru Lima or changes in applicable tax legislation.
- Payment terms: 40% advance payment upon contract execution, 35% upon completion of the Diplomat Digital Platform Deployment (Item 03), and 25% upon final acceptance of all deliverables. All payments shall be made via bank transfer to Diplomat's account at Banco de Crédito del Perú, Lima branch.
- All services shall be performed in compliance with the diplomatic and labor regulations of the Republic of Peru. Diplomat assumes full responsibility for the legal status of all personnel deployed in Peru Lima.
- Confidentiality: All information exchanged during the execution of this contract shall be treated as strictly confidential in accordance with the Diplomat Non-Disclosure Agreement (NDA) and applicable Peruvian data protection law (Ley N° 29733).
- Force Majeure: Neither party shall be held liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Peru Lima region, governmental decrees, or international diplomatic emergencies.
- Intellectual Property: All proprietary Diplomat methodologies, software, and protocol frameworks developed under this engagement remain the exclusive intellectual property of Diplomat International Advisory Services S.A.C. The client receives a perpetual, non-transferable license for internal use within Peru Lima.
- Dispute Resolution: Any disputes arising from this Quotation Estimate or the resulting contract shall be resolved through binding arbitration in Peru Lima, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima.
- Warranty: Diplomat provides a twelve-month warranty on all digital deliverables. Any defects in the Diplomat Secure Communication Platform shall be remediated at no additional cost within fifteen (15) business days of written notification.
- This Quotation Estimate does not constitute a binding contract until both parties have executed the formal Service Agreement in writing. Diplomat may withdraw this estimate at any time prior to formal acceptance without obligation.
By signing below, the undersigned parties acknowledge that this Quotation Estimate has been reviewed, understood, and accepted in its entirety. The execution of this document authorizes Diplomat to commence the services described herein in Peru Lima upon receipt of the initial advance payment.
