1. This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Any order placed after the expiry date will be subject to re-pricing by Diplomat East Africa Division.
2. Payment terms: 40% advance deposit upon acceptance of this Quotation Estimate; 40% upon shipment from Diplomat’s manufacturing facility; 20% upon successful installation and commissioning at the Uganda Kampala site.
3. All Diplomat products are covered by a minimum two-year manufacturer’s warranty against defects in materials and workmanship. The extended 5-year warranty applies specifically to executive seating as noted in Item 02.
4. Delivery and installation in Uganda Kampala are scheduled within eight (8) weeks of receipt of the advance deposit. Diplomat’s local project team will coordinate with the client’s facilities department for site access and scheduling.
5. Customs duties, import taxes, and all regulatory clearances required by the Uganda Revenue Authority and the Uganda National Roads Authority (for transport logistics) are included in the Quotation Estimate under Item 10.
6. Any changes to the scope, quantities, or specifications after acceptance of this Quotation Estimate will be subject to a supplementary estimate issued by Diplomat and must be approved in writing by both parties before additional work commences.
7. Diplomat reserves the right to substitute any material or component of equivalent or superior quality should the originally specified item become unavailable, provided prior written notice is given to the client.
8. This Quotation Estimate does not constitute a binding contract until a formal Purchase Order or signed Service Agreement is executed by both parties.
9. All disputes arising from this Quotation Estimate or the subsequent contract shall be governed by the laws of the Republic of Uganda and shall be resolved through arbitration in Kampala in accordance with the rules of the Uganda Arbitration Centre.
