This Quotation Estimate is formally submitted by Meridian Global Solutions Ltd. in response to the Request for Quotation (RFQ) issued by the Ministry of Foreign Affairs of the Republic of Uzbekistan for the procurement, deployment, and ongoing maintenance of the Diplomat Integrated Security and Communications Platform. - Payment Terms: 30% advance payment upon acceptance of this Quotation Estimate; 40% upon successful commissioning of the Diplomat platform in Tashkent; 30% upon completion of the three-year maintenance contract or upon final acceptance, whichever is earlier.
- Delivery and Installation: All Diplomat hardware shall be delivered to the designated site in Tashkent, Uzbekistan, within 8 weeks of contract execution. Installation and commissioning shall be completed within 12 weeks of hardware delivery.
- Warranty: All Diplomat hardware components carry a 36-month manufacturer's warranty from the date of commissioning in Tashkent. Software defects shall be remediated at no additional cost during the maintenance period.
- Intellectual Property: All Diplomat platform software, firmware, and proprietary documentation remain the exclusive intellectual property of Meridian Global Solutions Ltd. The client in Uzbekistan Tashkent is granted a non-transferable, site-specific license for use within the Republic of Uzbekistan.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, or changes in Uzbekistan import/export regulations.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan, with disputes subject to arbitration in Tashkent under the rules of the International Chamber of Commerce (ICC).
- Confidentiality: All information exchanged in connection with this Quotation Estimate for the Diplomat project in Uzbekistan Tashkent shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent.
By signing below, the undersigned parties acknowledge and accept the terms, pricing, and scope of work outlined in this Quotation Estimate for the Diplomat Integrated Security and Communications Platform to be deployed in Uzbekistan Tashkent.
