The Economist will be physically based in Brazil Rio de Janeiro and will conduct all on-site consultations, data collection, and stakeholder meetings within the city and its immediate metropolitan area, including the municipalities of Niterói, Duque de Caxias, and São Gonçalo.

3.1 Validity: This Quotation Estimate shall remain valid for a period of sixty (60) calendar days from the date of issue. After this period, all rates and availability of the assigned Economist are subject to revision based on prevailing market conditions in Brazil Rio de Janeiro.
3.2 Payment Schedule: Payment shall be made in four (4) equal quarterly installments of R$ 78,862.50, due on the 5th business day of each quarter. A 10% advance payment is required upon execution of the definitive service contract to secure the Economist's availability.
3.3 Cancellation and Termination: Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination by the client, all services rendered up to the date of termination shall be invoiced in full, and a cancellation fee of 15% of the remaining contract value shall apply.
3.4 Confidentiality: The Economist and Meridian Economic Advisory Group shall treat all data, financial records, and strategic information provided by the client as strictly confidential. This obligation survives the termination of the contract for a period of five (5) years.
3.5 Intellectual Property: All reports, models, analyses, and deliverables produced under this Quotation Estimate shall become the exclusive property of the client upon full payment. The Economist retains the right to reference the engagement in professional portfolios with the client's prior written consent.
3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of Rio de Janeiro, RJ.
3.7 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Brazil Rio de Janeiro region, government-mandated shutdowns, or systemic financial crises.
By signing below, the client acknowledges receipt of this Quotation Estimate and confirms that the scope of services, cost breakdown, and terms outlined herein are acceptable. This signature does not constitute a binding contract but serves as authorization for Meridian Economic Advisory Group to proceed with the preparation of a definitive service agreement for the engagement of the Economist in Brazil Rio de Janeiro.
