The Economist will be based in Canada Toronto and will report directly to the client's Office of the Chief Financial Officer.

3.1 Validity: This Quotation Estimate shall remain valid for a period of thirty (30) calendar days from the date of issue. Should the client wish to proceed beyond this period, a revised Quotation Estimate reflecting current market rates for Economist services in Canada Toronto will be required.
3.2 Payment Terms: All invoices arising from this Quotation Estimate are payable within thirty (30) days of the invoice date. Payment shall be made in Canadian Dollars (CAD) via electronic funds transfer to the account designated by Meridian Economic Advisory Group Inc. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the Ontario Interest Act applicable in Canada Toronto.
3.3 Scope Changes: Any modification to the scope of work, additional deliverables, or extended engagement of the Economist beyond the parameters set forth in this Quotation Estimate must be documented in a written change order signed by both parties. No additional work shall be performed without prior written authorization.
3.4 Confidentiality: The Economist engaged under this Quotation Estimate shall be bound by a strict non-disclosure agreement. All economic data, fiscal projections, and proprietary analyses generated in the course of services delivered in Canada Toronto shall remain the exclusive property of the client.
3.5 Termination: Either party may terminate the engagement with sixty (60) days written notice. Upon termination, the client shall be invoiced for all services rendered up to the effective date of termination, as calculated under this Quotation Estimate.
3.6 Governing Law: This Quotation Estimate and any resulting agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto.
Note: This Quotation Estimate assumes standard business hours (Monday to Friday, 9:00 AM to 5:00 PM Eastern Time) for all Economist services rendered in Canada Toronto. Work performed outside these hours or on statutory holidays in Ontario will be billed at 1.5x the applicable hourly rate.
