Payment for this Quotation Estimate shall be structured as follows:
- 30% advance payment (R$ 90,216.00) due upon signed acceptance of this Quotation Estimate, to be transferred via TED to the provider's account at Banco do Brasil, Ag. 1234-5, Conta 67890-1.
- Monthly installments of R$ 21,051.00 for the remaining 12 months, due on the 5th business day of each month, covering salary, benefits, compliance advisory, and performance review services.
- One-time infrastructure payment of R$ 12,400.00 (plus ISS) due within 10 business days of the Education Administrator's start date.
- All payments are in Brazilian Reais (BRL). Late payments shall accrue interest at the Selic rate plus a 2% penalty as per Brazilian commercial law.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After 17 July 2025, pricing may be subject to revision based on market conditions in Brazil Rio de Janeiro.
- The Education Administrator engagement is governed by the Brazilian Consolidation of Labor Laws (CLT – Consolidação das Leis do Trabalho) and all applicable municipal regulations of Rio de Janeiro.
- The provider shall maintain professional liability insurance with a minimum coverage of R$ 500,000.00 throughout the contract period.
- Either party may terminate the agreement with 30 days' written notice. In the event of early termination, pro-rated costs for the Education Administrator's remaining obligations shall be settled within 15 business days.
- All data processed in connection with the Education Administrator role shall comply with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13.709/2018).
- Disputes arising from this Quotation Estimate shall be resolved by arbitration in the city of Rio de Janeiro, RJ, in accordance with the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Ciências do Brasil).
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties and registered with the relevant municipal authority in Brazil Rio de Janeiro.
