3.1 Validity: This Quotation Estimate shall remain valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision based on prevailing market conditions in Ivory Coast Abidjan.
3.2 Payment Terms: A mobilization advance of thirty percent (30%) shall be due upon contract signing. Subsequent payments shall be made in monthly progress installments of twenty-five percent (25%) each, with the final balance of fifteen percent (15%) payable upon successful commissioning and handover of all documentation.
3.3 Scope Limitations: This Quotation Estimate covers only the professional services of the Electrical Engineer as described herein. It does not include the procurement of materials, equipment, or third-party subcontractor labor unless explicitly stated in the line items above.
3.4 Regulatory Compliance: All engineering deliverables shall conform to the electrical codes and standards enforced by the Ivorian Ministry of Energy and the relevant municipal building authorities in Abidjan. The Electrical Engineer assumes responsibility for ensuring that all designs meet the safety and performance requirements applicable to Ivory Coast Abidjan.
3.5 Force Majeure: Neither party shall be held liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions, or grid outages declared by CIE affecting the Abidjan service area.
3.6 Confidentiality: All technical data, site plans, and proprietary information exchanged during the course of this engagement shall be treated as strictly confidential by both parties for a period of three (3) years following project completion.
3.7 Dispute Resolution: Any dispute arising from this Quotation Estimate or the resulting contract shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Ivorian Chamber of Commerce in Abidjan.

A formal contract shall be executed upon the client's written acceptance of these terms. All services described herein are to be performed exclusively within the jurisdiction of Ivory Coast Abidjan unless otherwise agreed in writing.
