1. Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, prices may be adjusted to reflect changes in material costs, exchange rates, or labor market conditions in Brazil São Paulo.
2. Payment Schedule: Payment shall be made in three (3) installments: 40% upon contract signing, 35% upon completion of prototype assembly, and 25% upon final delivery and acceptance of the design transfer package. Payments shall be made via bank transfer (TED/PIX) to the account specified in the formal contract.
3. Project Timeline: The estimated duration for full completion of all Electronics Engineer services is twelve (12) weeks from the date of contract execution, subject to client approval at each milestone stage.
4. Revisions: Two (2) rounds of design revisions are included in the quoted price. Additional revisions will be billed at the hourly rate of R$ 280,00 per hour for the Electronics Engineer's time.
5. Intellectual Property: Upon full payment, all design files, schematics, firmware source code, and documentation become the exclusive property of the client. TechCircuit retains the right to reference the project in its portfolio with client written consent.
6. Cancellation: In the event of early termination by the client, all work completed up to the date of cancellation shall be invoiced in full. A cancellation fee of 15% of the remaining contract value applies if termination occurs after the first milestone.
7. Compliance: All services will be performed in accordance with Brazilian technical standards (ABNT NBR), ANATEL regulatory requirements for electronic equipment, and applicable labor laws of the state of São Paulo.
8. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, proprietary designs, and business information exchanged during the engagement. A separate NDA may be executed prior to project commencement.
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or supply chain disruptions affecting the Brazil São Paulo region.
