5.1 Payment Terms: Payment for this Quotation Estimate shall be structured as follows: 30% advance payment upon contract execution, 40% upon completion of the third month of the Electronics Engineer's deployment in Iraq Baghdad, and 30% upon successful project completion and final handover. All payments shall be made via international wire transfer to the designated bank account of Al-Rafidain Technical Solutions Co. Ltd.

5.2 Validity: This Quotation Estimate is valid for a period of sixty (60) calendar days from the date of issue. Beyond this period, all rates and terms are subject to revision due to fluctuating exchange rates, security conditions in Iraq Baghdad, and changes in operational costs.

5.3 Cancellation and Termination: Either party may terminate the engagement with a written notice of thirty (30) days. In the event of early termination, the client shall be liable for all costs incurred up to the date of termination, including non-refundable visa fees, airfare, and accommodation commitments for the Electronics Engineer in Iraq Baghdad.

5.4 Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to political instability, security incidents, natural disasters, or government-imposed restrictions in Iraq Baghdad.

5.5 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Republic of Iraq, with disputes to be resolved through arbitration in Baghdad under the rules of the Iraqi Arbitration Center.

5.6 Confidentiality: All technical data, project documentation, and proprietary information exchanged in connection with this Quotation Estimate shall be treated as strictly confidential by both parties.
