3.1 Validity: This Quotation Estimate shall remain valid for thirty (30) calendar days from the date of issue. Should the client wish to proceed beyond this period, a revised Quotation Estimate reflecting current market rates for Electronics Engineer services in Japan Kyoto will be issued.
3.2 Payment Schedule: 30% advance payment upon acceptance of this Quotation Estimate; 40% upon completion of prototype fabrication and successful environmental testing; 30% upon final commissioning and handover of documentation at the Japan Kyoto facility.
3.3 Intellectual Property: All schematics, firmware source code, and design documentation produced by the Electronics Engineer under this engagement shall become the exclusive property of the client upon full payment. Kyoto Technical Solutions Co., Ltd. retains the right to reference the project in anonymized portfolio materials.
3.4 Compliance: All work performed by the Electronics Engineer shall adhere to JIS C 0950 (safety of information technology equipment), JIS C 1015 (EMC), and the Radio Law of Japan. The client is responsible for obtaining any local permits required for the installation of electronic equipment in the Nakagyo-ku district of Japan Kyoto.
3.5 Force Majeure: Neither party shall be liable for delays caused by natural disasters (including seismic events common to the Japan Kyoto region), government-mandated shutdowns, or other events beyond reasonable control.
3.6 Governing Law: This Quotation Estimate and any resulting contract shall be governed by the laws of Japan. Disputes shall be resolved through arbitration at the Japan Commercial Arbitration Association (JCAA) in Kyoto.
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms outlined herein for the engagement of the Electronics Engineer services described above, to be executed at the specified location in Japan Kyoto.
