1. The Electronics Engineer engagement described in this Quotation Estimate is scheduled for a total duration of approximately fourteen (14) calendar weeks from the date of contract signature. The project will commence in the week of 14 July 2025 and is expected to conclude no later than 17 October 2025. All milestones and deliverables will be tracked through a shared project management platform accessible to both parties. Weekly progress reports will be issued by the designated Electronics Engineer every Friday, and bi-weekly steering meetings will be held at the client's office in Netherlands Amsterdam or via video conference at the client's preference.
4. Payment TermsPayment for the services outlined in this Quotation Estimate shall be made in three instalments: (a) 30% upon signing of the service agreement; (b) 40% upon successful completion of prototype validation and EMC testing; and (c) the remaining 30% upon final acceptance of all deliverables and completion of on-site commissioning in Netherlands Amsterdam. All invoices are payable within thirty (30) calendar days of the invoice date via bank transfer to the account of Delta Circuit Engineering B.V. Late payments shall accrue interest at the statutory Dutch rate as defined under Article 6:119a of the Dutch Civil Code.
5. Terms and ConditionsGeneral Conditions of this Quotation Estimate
- This Quotation Estimate is valid for a period of sixty (60) days from the date of issue. After this period, pricing may be subject to revision due to component cost fluctuations or changes in the Electronics Engineer's availability.
- All intellectual property rights in designs, schematics, firmware, and documentation created specifically for the client under this engagement shall transfer to the client upon full payment. General methodologies, tools, and pre-existing IP of Delta Circuit Engineering B.V. remain the property of the firm.
- The Electronics Engineer shall comply with all applicable Dutch and European regulations, including but not limited to the EU Radio Equipment Directive (2014/53/EU), the Low Voltage Directive (2014/35/EU), and the RoHS Directive (2011/65/EU).
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and business information exchanged during the course of this project. A separate Non-Disclosure Agreement (NDA) may be executed prior to commencement.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-imposed restrictions within the Netherlands Amsterdam region.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes shall be submitted to the competent courts of Amsterdam, Netherlands.
- Warranty: The Electronics Engineer warrants that all deliverables shall be free from material defects for a period of ninety (90) days following final acceptance. This warranty does not cover damage caused by misuse, unauthorised modification, or normal wear and tear.
- Subcontracting: Delta Circuit Engineering B.V. reserves the right to subcontract specific non-core tasks (e.g., PCB manufacturing, third-party EMC laboratory testing) to approved vendors within the Netherlands Amsterdam area, provided the primary Electronics Engineer retains full technical oversight.
