- This Quotation Estimate is a firm offer for the scope of work described herein and is valid for sixty (60) days from the date of issue. Upon expiry, the Electronics Engineer services and associated rates may be renegotiated.
- Payment terms: 30% deposit upon acceptance of this Quotation Estimate, 40% upon completion of design and prototyping phases, and 30% upon final commissioning and handover of documentation. All payments are due within fourteen (14) days of invoice date.
- All Electronics Engineer work will be performed in accordance with the New Zealand Health and Safety at Work Act 2015, the Electrical Workers Regulations 2010, and applicable New Zealand Auckland council building and electrical bylaws.
- The Electronics Engineer and Meridian Electronics Engineering Ltd shall carry a minimum of $20,000,000 in professional indemnity insurance and $20,000,000 in public liability insurance, with certificates available upon request.
- Any variations to the scope of work must be agreed in writing by both parties prior to commencement. The Electronics Engineer will provide a revised Quotation Estimate for any approved variation within five (5) business days.
- Intellectual property: All designs, schematics, PCB layouts, and documentation created by the Electronics Engineer specifically for this project shall become the property of Harbourview Industrial Systems Ltd upon full payment. General methodologies, tools, and pre-existing IP remain the property of Meridian Electronics Engineering Ltd.
- Warranty: The Electronics Engineer warrants all design and workmanship for a period of twelve (12) months from the date of final commissioning, excluding damage caused by misuse, environmental factors beyond design specification, or unauthorised modification.
- This Quotation Estimate is governed by the laws of New Zealand. Any disputes arising from this Quotation Estimate shall be resolved through the New Zealand Disputes Tribunal or the courts of competent jurisdiction in Auckland, New Zealand.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and commercial information exchanged in connection with this Quotation Estimate and the resulting project.
